These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature to be valid and binding. If you do not agree to these Terms in full, you must not access or use the Service.
You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 (or the equivalent law of your jurisdiction) to create an account or use the Service. By using the Service, you represent and warrant that you meet these requirements and that all registration information you submit is accurate and truthful.
Splik is an expense-tracking and bill-splitting tool. It helps you and people you choose to transact with record who paid for a shared expense and calculates each participant's share. Splik does not process, hold, transmit, or take custody of money in any form for expenses you split with other users, and is not a payment aggregator, payment gateway, digital wallet, or banking or financial institution under any applicable law, including the Payment and Settlement Systems Act, 2007 or the regulations of the Reserve Bank of India, in respect of that user-to-user activity. Any actual transfer of funds between users occurs entirely outside the Service, through whatever means those users independently choose. This is distinct from Splik's own paid subscription plans, which Splik charges you directly for and which are processed by a licensed third-party payment gateway — see Section 8A.
Subject to your compliance with these Terms, Splik grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the app on a device you own or control, solely for your own personal, non-commercial use. All rights not expressly granted to you are reserved by Splik and its licensors.
You agree that you will not, and will not attempt to:
We reserve the right to investigate and take appropriate legal action, including suspension or termination of your account and reporting to law enforcement, against anyone who violates this section.
You retain all ownership rights in the content you submit to the Service, such as receipt photos, profile pictures, and expense descriptions ("Your Content"). By submitting Your Content, you grant Splik a limited, worldwide, royalty-free licence to host, store, reproduce, and display Your Content solely for the purpose of operating, maintaining, and improving the Service and displaying it back to you and to the specific users you share it with (e.g. members of the same expense or group). This licence ends when you delete the relevant content or your account, except to the extent a copy is reasonably retained in backups or by other users as described in our Privacy Policy. You are solely responsible for Your Content and for having the necessary rights to share it.
Because Splik only records information you and your group members enter, and never processes an actual transfer of funds, we have no visibility into, control over, or responsibility for whether an actual payment between users occurred. Any dispute about whether money was actually paid, received, or is otherwise owed is solely between the users involved. We recommend you independently confirm any settlement before relying on the app's record of it, and use appropriate caution and your own judgment when transacting with anyone, including people you meet or add through the Service.
Splik offers optional paid subscription plans ("Individual" and "Group") that unlock additional features beyond the Free tier, as described on our Pricing page. This section governs those subscriptions and is separate from Section 8 above, which concerns money you and other users owe each other for split expenses — Splik has no role in that. This section concerns the subscription fee you pay Splik directly.
The Service relies on third-party infrastructure, including Firebase and other Google Cloud services, for authentication, data storage, and push notifications, and may allow you to share content to other third-party apps. Your use of any such third-party service is subject to that provider's own terms and privacy policy, and we are not responsible for the acts or omissions of any third party.
The Service, including its name, logo, design, "look and feel", software, and all related intellectual property (excluding Your Content), is owned by Splik or its licensors and is protected by applicable intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999. Nothing in these Terms transfers any such ownership to you.
You may stop using the Service and delete your account at any time as described in Section 4. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or other users, or if required to do so by law. Sections of these Terms that by their nature should survive termination (including Sections 8, 8A, 10, 12, 13, 14, and 15) will survive.
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that any calculation will always be free of bugs, or that defects will be corrected. You are solely responsible for independently verifying any significant balance before relying on it to settle a real payment.
To the maximum extent permitted by applicable law, in no event will Splik, its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Service, even if advised of the possibility of such damages. To the extent any liability is not lawfully excludable, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount, if any, you paid us to use the Service in the 12 months preceding the claim, or (b) ₹1,000 (one thousand Indian Rupees). Nothing in these Terms limits any liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence, or for fraud.
You agree to indemnify and hold harmless Splik and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms or of any applicable law or third-party right.
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Before initiating any formal proceeding, you agree to first contact us at info@splik.in and attempt in good faith to resolve the dispute informally for at least 30 days. If not resolved, the dispute will be subject to the exclusive jurisdiction of the competent courts at Cuttack, India, and both parties consent to that jurisdiction and venue.
If you access the Service through Apple's App Store or Google Play, you acknowledge the following, in addition to these Terms:
We may update these Terms from time to time. If we make a material change, we will notify you in-app or by another appropriate means and update the "Last updated" date above. Your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to a change, you must stop using the Service and may delete your account as described in Section 4.
